Terms & Conditions of Service

1. Acceptance of Terms

These Terms & Conditions ("Terms", "Agreement") govern the engagement between Web Sync Zone ("Agency", "we", "us") and the individual or business entity ("Client", "you") commissioning web development, software engineering, mobile application, or technical consulting services. By approving a project proposal, submitting an inquiry, or remitting an advance payment, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

2. Scope of Services & Deliverables

Web Sync Zone provides bespoke software engineering, enterprise web application design, mobile app development, API integration, and system infrastructure solutions. All project deliverables, technical specifications, milestones, and timelines are governed by the formal interactive proposal, Statement of Work (SOW), or written agreement executed between both parties.

Any scope modifications, additional features, or third-party API dependencies requested after project approval will be treated as Change Requests (CR) and scoped separately under mutual written agreement.

3. Commercial Invoicing & Payment Terms

To ensure steady development velocity and resource allocation, project commercials follow structured milestone schedules:

• Mobilization Deposit: A mutually agreed initial mobilization deposit (typically 30% to 50% of the project scope) is required prior to project kickoff, sprint architecture, and environment setup.
• Milestone Progress Invoices: Intermediate milestones (e.g., UI/UX prototype approval, backend API completion) are invoiced and payable upon completion of corresponding staging demos.
• Final Balance & Deployment: Final balance payment is due upon final client acceptance and prior to live production DNS deployment or proprietary source code handover.
• Accepted Payment Methods: Invoices may be settled securely through authorized Indian banking channels, including UPI, Net Banking, IMPS/NEFT, and RBI-regulated payment gateways (such as Razorpay). All applicable Goods and Services Tax (GST) is levied as mandated by the Government of India.

4. Intellectual Property (IP) Transfer & Ownership

Upon full and final settlement of all invoiced dues for a custom development project, Web Sync Zone irrevocably assigns and transfers to the Client all right, title, and interest in the bespoke source code, visual design assets, graphic layouts, and database schemas created specifically for the project.

Web Sync Zone retains ownership of its proprietary pre-existing architectural libraries, baseline starter frameworks, and reusable utility scripts, for which the Client is granted an indefinite, non-exclusive, royalty-free license to use as part of the delivered system.

5. 30-Day Complimentary Post-Launch Warranty

Every custom production deployment includes a 30-day complimentary post-launch warranty period commencing on the date of live deployment. During this window, Web Sync Zone will promptly diagnose and remedy any reproducible functional bugs, server-side syntax errors, or deviations from the agreed scope at zero additional cost.

The warranty does not cover issues resulting from unauthorized third-party code modifications, external API outages, server host downtime, or client-side tampering.

6. Client Obligations & Material Delivery

The Client agrees to provide timely feedback, branding collateral, text copy, API credentials, and domain access necessary for project execution. Unreasonable delays in providing prerequisite approvals or credentials may extend agreed delivery timelines proportionally.

7. Limitation of Liability

In no event shall Web Sync Zone, its developers, directors, or affiliates be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data corruption, or business interruption, arising out of or in connection with the delivered software. Our total aggregate liability under any cause of action shall strictly not exceed the total fees paid by the Client to Web Sync Zone for the specific service under dispute.

8. Governing Law & Dispute Resolution

These Terms shall be interpreted, governed, and construed strictly in accordance with the substantive laws of the Republic of India. Any legal action, suit, or proceeding arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Kolkata, West Bengal, India.
